Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Breviity website at breviity.com, the Breviity platform, applications, APIs, integrations, artificial intelligence features, and related products and services (collectively, the “Services”).

The Services are provided by Progilex Innovations Private Limited, operating under the brand Breviity (“Breviity”, “we”, “us” or “our”).

By accessing or using the Services, creating an account, connecting a third-party application, requesting or accepting a trial, or otherwise using Breviity, you agree to these Terms.

If you are using Breviity on behalf of a company, organisation, employer or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, references to “you” include that entity.

If you do not agree to these Terms, you must not use the Services.

1. About Breviity

Breviity is an AI-powered productivity, communication and workplace intelligence platform designed to help organisations consolidate information from business communication and productivity systems, surface relevant information, summarise communications, assist with tasks and actions, provide contextual insights, and improve organisational productivity.

The functionality available to you may depend on your subscription, deployment model, administrator configuration, geographic location, integrations and other contractual arrangements.

Features may include artificial intelligence and machine-learning technologies, natural-language processing, search, summarisation, recommendations, analytics, workflow functionality and integrations with third-party applications.

2. Eligibility and Business Use

You must be legally capable of entering into a binding agreement to use Breviity.

Breviity is principally intended for business and professional use. If your organisation has provided you with access to Breviity, your use may also be governed by your organisation’s internal policies.

Where an organisation controls your Breviity account or workspace, its authorised administrators may be able to:

  • create, configure, restrict, suspend or terminate user accounts;
  • manage integrations and permissions;
  • control workspace settings;
  • manage access to organisational information;
  • review administrative and security information;
  • configure retention and other data-management settings; and
  • perform other administrative functions associated with the Services.

You are responsible for understanding and complying with your organisation’s policies.

3. Accounts and Account Security

Certain Services require an account.

You agree to provide accurate and current information when creating or maintaining an account.

You are responsible for:

  • maintaining the confidentiality and security of your credentials;
  • using reasonable measures to prevent unauthorised access;
  • activities performed through your account where permitted by applicable law; and
  • promptly notifying us if you become aware of suspected unauthorised access or a security incident involving your account.

You must not share credentials in a manner that defeats security controls or account licensing restrictions.

Breviity may support authentication through third-party identity providers. Your use of those identity services is also governed by the applicable provider’s terms.

4. Customer Data and Connected Services

Customer Data” means information, content, documents, communications, files, records or other data submitted to, transmitted through, made available to, or processed through the Services by or on behalf of a customer or its users.

As between you and Breviity, you retain your rights in Customer Data.

You grant Breviity the limited rights necessary to host, process, transmit, analyse, index, retrieve, transform and otherwise handle Customer Data for the purpose of providing, securing, supporting and improving the Services in accordance with the applicable agreement and our privacy documentation.

You represent that you have all necessary rights, permissions and lawful bases required to provide or make Customer Data available to Breviity.

You must not use Breviity to access information that you are not authorised to access.

5. Third-Party Integrations

Breviity may connect with external products and services such as email platforms, collaboration systems, cloud-storage providers, calendars, project-management applications, communication services and other enterprise systems.

When you enable an integration, you authorise Breviity to communicate with and process information from that service within the permissions you or your administrator grant.

Third-party services are operated independently from Breviity. Their availability, functionality, security and terms are controlled by their respective providers.

Breviity is not responsible for:

  • outages or failures of third-party services;
  • changes made by third-party providers;
  • information processed independently by third-party providers;
  • third-party API limitations;
  • suspension or termination of third-party services; or
  • acts or omissions of third-party providers.

You are responsible for maintaining appropriate accounts and permissions for connected services.

6. Artificial Intelligence Features

Certain Breviity features use artificial intelligence, machine learning, large language models or similar technologies (“AI Features”).

AI Features may generate summaries, classifications, recommendations, suggested responses, extracted tasks, prioritisation signals, insights or other generated content (“AI Output”).

AI technology is probabilistic. AI Output may occasionally be incomplete, inaccurate, outdated, misleading, inappropriate or inconsistent.

You acknowledge that:

  • AI Output should be reviewed before being relied upon;
  • important information should be verified against original sources;
  • AI Output should not replace professional judgement;
  • Breviity does not guarantee that AI Output is factually correct or suitable for any particular purpose; and
  • users remain responsible for decisions and actions taken using AI Output.

You must apply appropriate human oversight where Breviity is used in connection with decisions that may significantly affect individuals or organisations.

Unless expressly agreed otherwise, Breviity should not be treated as providing legal, financial, medical, regulatory or other professional advice.

Customer Data will be processed only in accordance with applicable agreements, privacy documentation and authorised purposes.

7. Acceptable Use

You may use Breviity only for lawful and authorised purposes.

You must not use the Services to:

  • violate applicable law or regulation;
  • infringe intellectual property, privacy or other rights;
  • access data, accounts or systems without authorisation;
  • distribute malware, ransomware, viruses or harmful code;
  • conduct phishing, credential theft or fraudulent activity;
  • attempt to bypass authentication, permissions, quotas or security controls;
  • probe, scan or test systems for vulnerabilities without written authorisation;
  • interfere with the availability or operation of the Services;
  • use automated means to excessively scrape or extract information;
  • reverse engineer the Services except where applicable law expressly permits it;
  • impersonate another person or organisation;
  • create or distribute unlawful, defamatory, fraudulent or malicious content;
  • use the Services to facilitate unlawful surveillance;
  • deliberately manipulate AI Features to circumvent safeguards;
  • use Breviity to obtain information that you do not have permission to access; or
  • use the Services in a manner that materially harms Breviity, our infrastructure, our customers or other users.

We may investigate suspected misuse and may restrict or suspend access where reasonably necessary to protect users, customers, third parties or the Services.

8. Intellectual Property

Breviity and its licensors retain all rights, title and interest in the Services, including software, algorithms, models, interfaces, designs, workflows, technology, documentation, trademarks and other intellectual property.

Except for rights expressly granted under these Terms or another written agreement, no rights are transferred to you.

You may not copy, reproduce, modify, distribute, sell, lease, sublicense or create derivative works from Breviity technology except as expressly permitted.

“Breviity”, associated logos, product names and branding are trademarks or proprietary identifiers of Breviity or its licensors.

9. Feedback

If you provide suggestions, ideas, recommendations or feedback relating to Breviity, you grant us the right to use that feedback without restriction or payment to you, provided that doing so does not grant us ownership of your Customer Data or confidential information.

10. Subscription Plans and Fees

Certain Services may require a paid subscription, order form or other commercial agreement.

Prices, usage allowances, features, user limits and billing arrangements may vary by plan.

Where you purchase Services under an order form, proposal, master services agreement or other written agreement, that document may contain additional commercial terms.

Unless otherwise specified:

  • applicable fees are exclusive of taxes;
  • customers are responsible for legally applicable taxes;
  • payment obligations are non-cancellable and non-refundable except where required by law or expressly agreed otherwise; and
  • failure to pay undisputed fees may result in suspension of Services after appropriate notice.

We may change publicly offered pricing or plans from time to time. Changes will not retrospectively alter a committed subscription term unless permitted by the applicable agreement.

11. Trials, Beta Features and Early Access

Breviity may make trial, preview, beta, experimental or early-access functionality available.

Such functionality may:

  • change without notice;
  • contain defects;
  • operate with reduced availability;
  • have different security or support characteristics;
  • be discontinued; and
  • not be suitable for production-critical workloads.

Additional terms may apply to specific beta or preview programs.

12. Privacy and Data Protection

Our collection and processing of personal information is governed by our Privacy Policy and, where applicable, a Data Processing Agreement or other contractual documentation.

Our use of cookies and similar technologies on our website is explained in our Cookie Policy.

Customers are responsible for ensuring that their use of Breviity complies with applicable privacy, employment, monitoring, data-protection and communications laws.

Where an organisation deploys Breviity for its workforce, that organisation is responsible for providing any notices and obtaining any consents required by applicable law for its intended use of the Services.

13. Security

We implement reasonable administrative, organisational and technical safeguards designed to protect the Services and information processed through them.

No internet-connected service can be guaranteed to be completely secure.

You are responsible for appropriately configuring your accounts, identity systems, integrations, user access and administrative permissions.

You must promptly notify us at support@breviity.com if you become aware of a suspected security vulnerability relating to the Services.

14. Confidentiality

Where Breviity and a customer exchange confidential business information, each party should use reasonable measures to protect that information and use it only for the purpose for which it was disclosed.

Separate confidentiality obligations contained in a non-disclosure agreement, master services agreement, order form or other written agreement will take precedence where applicable.

15. Service Availability and Changes

We continually develop and improve Breviity.

We may add, modify, replace or discontinue features where reasonably necessary for technical, operational, security, regulatory or commercial reasons.

We do not guarantee uninterrupted or error-free operation unless an applicable written agreement expressly provides a service-level commitment.

Maintenance, third-party outages, internet failures, security incidents and circumstances outside our reasonable control may affect availability.

16. Suspension

We may temporarily restrict or suspend access to the Services where reasonably necessary because of:

  • a material breach of these Terms;
  • a security threat;
  • unlawful activity;
  • unauthorised access;
  • material risk to the Services or other customers;
  • overdue undisputed payments; or
  • a requirement imposed by law or a competent authority.

Where reasonably practicable, we will provide notice and an opportunity to remedy the issue.

17. Termination

You may stop using the publicly available website at any time.

Termination of subscription Services is governed by the applicable subscription, order form or commercial agreement.

Upon termination or expiry, your right to use the affected Services ends.

Provisions that by their nature should survive termination, including intellectual property, payment obligations, confidentiality, disclaimers, limitations of liability and dispute provisions, will continue to apply.

Customer-data retrieval and deletion following termination will be handled in accordance with the applicable agreement, documented retention practices and applicable law.

18. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided on an “as available” basis.

Except for warranties expressly stated in a written agreement, Breviity disclaims implied warranties including merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability to the extent legally permitted.

Breviity does not warrant that:

  • every communication, task or item will be detected or prioritised;
  • AI-generated information will always be correct;
  • integrations will always remain available;
  • the Services will be completely error-free; or
  • use of the Services will produce a particular business result.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

19. Limitation of Liability

To the maximum extent permitted by applicable law, neither Breviity nor its directors, employees, affiliates, contractors or licensors will be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including loss of profits, revenue, goodwill, anticipated savings, business opportunities or data, arising from or relating to the Services.

Where permitted by law, Breviity’s aggregate liability relating to paid Services will not exceed the fees paid or payable by the relevant customer to Breviity for the affected Services during the 12 months preceding the event giving rise to the claim.

For free Services, Breviity’s aggregate liability will be limited to the minimum amount permitted by applicable law.

These limitations do not apply where liability cannot legally be limited or excluded.

20. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Breviity harmless from third-party claims arising from:

  • your unlawful use of the Services;
  • Customer Data that infringes third-party rights;
  • your material breach of these Terms; or
  • your deliberate misuse of the Services.

This section does not apply to the extent a claim results from Breviity’s own breach, negligence or unlawful conduct.

21. Export Controls and Sanctions

You must not use, export or provide the Services in violation of applicable export-control, trade-sanctions or similar laws.

You represent that you are not prohibited by applicable law from receiving or using the Services.

22. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Unless an applicable written customer agreement provides otherwise, disputes relating to these Terms will be subject to the exclusive jurisdiction of the competent courts in Thane, Maharashtra, India.

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief from a competent court.

23. Enterprise Agreements

If your organisation has entered into an order form, subscription agreement, master services agreement, data-processing agreement or other negotiated agreement with Breviity, that agreement will apply to the extent of any conflict with these Terms.

These Terms are not intended to override specifically negotiated contractual obligations.

24. Changes to These Terms

We may update these Terms to reflect changes to the Services, laws, regulations, security requirements or our business practices.

When we make material changes, we will update the “Last Updated” date and provide additional notice where required by applicable law or contract.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those Terms to the extent permitted by law.

25. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

Failure to enforce a provision does not waive our right to enforce it later.

You may not assign these Terms without our consent where consent is legally required. Breviity may assign these Terms as part of a corporate reorganisation, merger, acquisition, sale of assets or similar transaction, subject to applicable law.

Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations.
